    Established in 2003, Malaria Consortium is one of the world's leading non-profit organisations specialising in the prevention, control and treatment of malaria and other communicable diseases among vulnerable populations. Our mission is to improve lives in Africa and Asia through sustainable, evidence-based programmes that combat targeted diseases and promote child and maternal health.

    We will accomplish this together with partners and all levels of government, by:
  • designing and implementing cutting edge research, surveillance and monitoring and evaluation;
  • selectively scaling up and delivering sustainable evidence-based health programmes;
  • providing technical assistance and consulting services that shape and strengthen national and international health policies, strategies and systems and build local capacity;
  • seeking to ensure that our experience, thought leadership, practical findings and research results are effectively communicated and contribute to the coordinated improvement of access to and quality of healthcare.
  • Our areas of expertise include:
  • disease prevention, diagnosis and treatment;
  • disease control and elimination;
  • health systems strengthening;
  • research, monitoring and evaluation leading to best practice;
  • behaviour change communication; and
  • national and international advocacy, and policy development.
  • Trustee Responsibilities

    With other Trustees to hold the charity "in Trust" for current and future beneficiaries by fulfilling the following duties:
  • Ensure that the charity has a clear vision, mission and strategy and is focussed on achieving these, by working with other Trustees, the Chief Executive and senior staff;
  • Be responsible for the performance of the charity and for its corporate behaviour;
  • Ensure that the charity complies with all legal and regulatory requirements;
  • Be a guardian of all the charity's assets, both tangible and intangible, taking all due care over their security, deployment and proper application;
  • Ensure that the charity's governance is of the highest possible standard.
  • A trustee has a collective responsibility in fulfilling these duties and must not act on his or her own without having authority of, or being delegated to do so by, the Board.

    The role

    To govern Malaria Consortium in line with its charitable objectives and to maintain oversight of the organisations financial affairs on behalf of the Board of Trustees.

    Specific Responsibilities

    To Chair the Finance, Audit and Risk Committee (FARC) and to lead the FARC in its compliance function. Broadly, the role of the FARC includes the following:
  • Oversee and advise the Board of Trustees on financial planning, budgeting and reporting,
  • Ensure that adequate risk management processes are in place
  • Ensure an effective internal control environment is in place
  • Ensure reserves and other accounting policies are fit for purpose
  • Communicate with the external auditor and ensure that the Financial Statements are drawn up in compliance with the charity SORP
  • Budgeting, financial monitoring and strategic planning
  • Monitoring the financial performance of the charity and reporting to the Board of Trustees on a periodic basis on its state of financial health.
  • Overseeing the presentation of annual budgets and forecasts and advising the Board on key aspects or any areas of concern.
  • Inputting into the financial aspects and impacts of long-term strategic planning for the charity.
  • Risk Management
  • To monitor the risks to which the charity is exposed, to ensure that this is kept up to date, and to ensure that a system of controls is in place to effectively mitigate key risks.
  • To ensure that the risk management processes and principles are adopted and embedded throughout the charity in line with the risk management policy and risk appetite.
  • To review the risk management process on a periodic basis to ensure that it is effective.
  • Internal Audit and Internal Control
  • To receive all Internal Audit reports, including reports on the review of systems and controls, and to monitor progress on outstanding issues on internal audits.
  • To agree the rolling programme for the Internal Audit team.
  • To bring to the notice of the Board of Trustees issues of specific concern arising from internal audit reports.
  • Financial policies
  • To review the reserves policy on a periodic basis.
  • To review accounting policies on an annual basis.
  • External Audit:
  • To consider all aspects of the external audit function, including periodic tendering of the audit, remuneration of the auditors and the agreeing the scope of the audit in conjunction with the auditors.
  • To ensure that the financial statements are "true and fair" and conform to accounting standards and the charity SORP, and that accounting policies are correctly and consistently applied.
  • To review the report of control weaknesses submitted by the auditors and to agree the remedial work proposed by management to address the weaknesses.
