About Isaac Kelvin:

I am an Advocate of the High Court of Kenya with over 8 years’ experience in Intellectual Property & Privacy Practice, Commercial & Corporate Law Practice within Corporate space and nongovernmental organizations. Through my experience I have represented financial institutions within and outside Kenya in various types of Intellectual Property disputes and negotiations. Consequently, I have gained a specialized understanding of cross border legal compliance & advisory, development banking and implementation of legal strategy. One of my best achievements this far is being able to integrate my banking (commercial & corporate experience) skill with my litigation (client advisory) skill that saw the successfully merger of Transnational Bank Kenya with Access Bank Kenya plc and the present ongoing merger between Access Bank (Plc) and Sidian Bank Limited Kenya.

Experience

Regional Manager (Eastern Africa)-Legal April 2020 – To Date (Full Time) Access Bank (Kenya) Plc Duties and Responsibilities:  Company Secretarial duties, including but not limited to Board legal and corporate legal practice advisory, convening Board meetings, taking minutes at the meetings, Corporate reporting, engagement and updates between the Bank and directors and legal advisory on governance and corporate law.  Advocate in charge of the Bank’s Human Resources policy formulation and compliance including but not limited to formulation and reviewing of employment contracts, overseeing employee onboarding process and exit process.  In charge of Commercial and Financial Transactions Documentation: - including but not limited to Drafting and negotiating loan agreements, ancillary transaction documents and commercial contracts (including but not limited to employment agreement, Syndicate agreements, non-disclosure agreements and general commercial contracts);  Collecting, analyzing and disseminating legal information to advise the Bank on possible legal risks and exposures.  Legal Manager in charge of ensuring Access Bank (Kenya) PLC is legally compliant with the labor laws, Banking Laws of Kenya, the International Standards and Best Practice;  Keeping tabs in the human resources policies, reviewing the policies and aligning them to the applicable laws as amended from time to time whilst following up with the Bank's Departments to ensure compliance with the Bank's internal policies;  Ensuring compliance with the labor laws, internal controls, statutory regulations and other formalities for the Bank researching on legal best practice and comparative analysis in order to enhance the legal efficiency of the Bank's operations.  Advocate in charge Data Protection and controls ensuring the Bank is compliant with the Data Protection Act 2019. Officially appointed by the Bank as the Data Protection Officer and registered with the Office of the Data Protection Commission, Kenya.  Advocate in charge of the Bank’s intellectual Property rights protection- including registration of the Bank’s products Trademark registration, search, review and advisory. Achievements. 1. Maintaining and enhancing employee-employer relations during the Successful transition/takeover of Transnational Bank by Access Bank (Kenya) Plc and ongoing takeover of Sidian Bank Plc by Access Bank (Kenya) Plc. 2. Access Bank legal compliance with no cases or regulatory breach suits filed against the Bank. 3. Successful registration and protection of all the Bank’s products Trademarks and Tradenames. 4. Initiation and creation of the Disability Banking Desk which has led to financing of the disabled persons’ business towards alleviating of poverty. 5. Overseeing the Transition of Transnational Bank Plc through the Takeover process by Access Bank (Kenya) Plc. 6. Cohesion among the Access Bank cross border inter-relations and development Banking Senior Legal Officer April 2019 – April 2021 Prime Bank (Kenya) Limited Duties and Responsibilities:  Advocate in charge of the Bank’s Company Secretarial duties, including but not limited to convening Board meetings, Board corporate legal advisory drafting reviewing and engrossing Board minutes. Extraction of Board Resolutions, research and advisory of the Head Legal for the consumption by the Board, engagement and updates between the Society and donors.  In charge of Commercial and Corporate law departments including but not limited to Drafting and negotiating loan agreements, ancillary transaction documents, and commercial contracts (including non-disclosure agreements);  Advisory and research on Human resource matters including but not limited to employment law compliance, onboarding and exit of employees and any other legal issues presented from time to time for review and for action by the legal department.  Ensuring compliance with the internal controls, statutory regulations and other formalities for the Bank researching on legal best practice and comparative analysis in order to enhance the legal efficiency of the Bank's operations.  Keeping tabs in the Banks policies, reviewing the policies and aligning them to applicable laws as amended from time to time whilst following up with the Bank's Departments to ensure compliance with the Bank's internal policies.  Lawyer responsible for research and compiling reports in relation to governance audit on applicable laws and current corporate governance principles and policies, including and King III and IV on Corporate Governance and the Mwongozo Code of Corporate Governance. Key Achievements 1. Prime Bank Limited had a record of zero employment cases and breach of the commercial contracts reviewed by myself. 2. Profitability and efficiency of the Bank stood though Covid-19 outbreak. 3. The Bank saw the rise of Customers taking up credit/ loan facilities due to legal transparency and efficiency. Disability Rights Advocate-Legal April 2020 – To Date (Part Time) Downs Syndrome Society of Kenya Duties and Responsibilities:  Advocate in charge of the Bank’s Human Resources policy formulation and compliance including but not limited to formulation and reviewing of employment contracts, overseeing employee onboarding process and exit process.  Advocate in charge of the Society’s Company Secretarial duties, including but not limited to convening Board meetings, taking minutes at the Board meetings, engagement and updates between the Society and donors  Representing and Advocating for the Intellectually Disabled in Courts of Kenya for the delivery of the socio-economic rights including but limited to right to work with an aim of promoting shared prosperity and to promote shared prosperity.  Formulation of the society’s strategic policy towards advocacy for the intellectually disabled from a Socio-Economic Rights based Approach with an aim of increasing the incomes of the disabled (being the poorest marginalized group in Kenya).  Working with members of the society and the National Coordinator to ensure effective coordination and delivery of the societies programmes including but not limited to legal aid clinics and trainings.  Designing and managing the implementation of a communications strategy to increase visibility and dissemination of our work, including to individual and institutional donors.  Publication with regard to training manual for the justice system in Kenya; Achievements 1. We have advocates for the rights of over 150,000 intellectually disabled in five counties in Kenya being Mombasa, Nairobi, Kisumu, Eldoret and Kakamega. 2. Empowerment of disabled persons leading to successful employment. 3. Training of 1000 disabled persons aside from their caregivers on socio economic rights. Duties and Responsibilities:  Commercial practice and drafting commercial agreements.  Acting for banks and other Financial institutional lenders in drawing revising and reviewing loan agreement both for secured and unsecured loan transactions.  Lawyer in charge of handling the firm’s company secretarial briefs, research and advisory to clients- including but not limited to limited to drafting reviewing and engrossing client’s Board minutes. Key Achievements. 1. Exceeded my set targets analyzing and providing opinions on corporate governance on four corporate entities within a period of one month. 2. Human Rights Researcher and Advocate August 2020 – To April 2021 (Part Time) Human Rights Watch Syracuse University USA Duties and Responsibilities:  Advocating for the rights of persons in America within Syracuse Community against racial discrimination through publications and research work.  Conducting trainings and advisory among the teams on strategies, means and options of proper advocacy for Human rights including but not limited to racial discrimination.  Working with members of the organization to ensure effective coordination and delivery of the societies programmes including but not limited to legal aid clinics and trainings.  Publication with regard to special cases of discrimination successfully advocates. Achievements 4. We managed to advocates for the rights of entire student body within Syracuse and community within the school’s vicinity. 5. We witnessed a reduction of racial discrimination cases within Syracuse University. 6. Training of 600 persons was successfully conducted at diverse times within the year. Research and Editor East African Law Journal October 2014- April 2016 University of Nairobi. Duties and Responsibilities:  Conducting Research on varied Human Rights topic presented for publication and editing the same;  Providing guidelines to authors for preparing and submitting manuscripts;  Providing a clear statement of the Journal’s policies on authorship criteria;  Making editorial decisions with reasonable speed and communicating them in a clear and constructive manner; and  Clearly communicating all editorial policies and stand. Research Assistant Operations Officer January 2013- October 2014 University of Nairobi, Duties and responsibilities:  Leading at team of lawyers and political science students;  Alignment of the University of Nairobi Act and policies to the Kenyan 2010 Constitution  Reviewed the University of Nairobi Act, policies with regard to alignment to the 2010 Constitution. Achievement. (Our team managed to be the first to finish amidst pressure and bulk of work).
